Investor Relations DirectorThe Director of Investor Relations is Nutex Health’s day-to-day voice to Wall Street and the primary point of contact for the entire investment community. This individual owns every relationship with current and prospective shareholders, sell-side analysts, and institutional investors, and is accountable for how NUTX is understood, followed, and valued in the market.

The role requires a rare combination of financial depth and communication presence. The Director must know Nutex’s financial statements, operating model, payer dynamics, and growth strategy well enough to discuss them in detail without notes, and must be able to represent the Company with credibility in investor meetings, conference calls, and roadshows when the CEO and CFO are not available. Within the boundaries of the Company’s disclosure policy, this person serves as an authorized spokesperson for Nutex to the financial community.

Investor Relationship Ownership

• Own and manage all relationships with current shareholders, including institutional, retail, and insider holders; serve as the single point of contact for investor inquiries.

• Lead investor calls and one-on-one meetings with current and prospective investors and independently represent NUTX when the CEO and CFO are unavailable.

• Maintain an investor CRM capturing every interaction, open question, and follow-up; ensure timely, consistent responses.

• Monitor the shareholder register, ownership changes, and trading activity; brief executive leadership on shifts in the shareholder base and market sentiment.

• Gather and report investor and analyst feedback to the CEO, CFO, and Board, including perception studies as appropriate.

Spokesperson and Equity Story

• Act as an authorized Company spokesperson to the investment community, in compliance with Regulation FD and Nutex’s disclosure and securities trading policies.

• Develop, refine, and consistently deliver the NUTX investment thesis—hospital model, payer mix, growth pipeline, capital allocation, and competitive positioning.

• Translate complex financial and operational results into clear, compelling messaging for analysts, portfolio managers, and the broader market.

• Prepare executives for investor interactions with briefing books, talking points, investor profiles, and anticipated Q&A.

Quarterly Earnings and Financial Communications

• Own the quarterly earnings process end to end: calendar, earnings press release, call script, slide presentation, Q&A preparation, call logistics, and post-call investor follow-up.

• Partner with Finance, Accounting, and Legal to ensure accuracy and consistency across earnings materials, 10-Q/10-K messaging, proxy statements, and the annual report.

• Understand and explain the financial statements in depth, including revenue drivers, reimbursement, Adjusted EBITDA reconciliations, cash flow, balance sheet, and non-GAAP measures.

• Support the CFO in developing and communicating financial guidance, and track consensus estimates against Company expectations.

• Maintain the investor relations section of the Company website, including presentations, press releases, SEC filings, and event materials.

Investor Targeting, Roadshows, and Institutional Growth

• Develop and execute a targeting strategy to broaden and diversify the shareholder base, with a specific goal of increasing institutional ownership.

• Plan and lead non-deal roadshows, reverse roadshows, facility tours, and an Investor Day as appropriate.

• Secure invitations to and manage NUTX participation at healthcare and small/mid-cap investor conferences, including scheduling one-on-one and group meetings.

• Build relationships with sell-side analysts to maintain and expand research coverage and review analyst models and reports for factual accuracy.

• Support capital markets activity—equity, debt, and strategic transactions—in partnership with the CFO and outside advisors.

Market Intelligence and Board Reporting

• Monitor peer hospital and healthcare services companies for valuation, performance, and messaging; benchmark NUTX against peers.

• Track analyst reports, short interest, trading activity, and industry and regulatory developments affecting investor perception.

• Prepare investor relations updates for executive leadership and the Board of Directors, including shareholder trends and outreach results.

Governance, Compliance, and Vendor Management

• Ensure all investor communications comply with Regulation FD, SEC rules, Nasdaq listing requirements, quiet-period practices, and Company policy.

• Partner with Legal on disclosure controls, safe-harbor language, and approval workflows for public communications.

• Support the annual shareholder meeting and shareholder engagement on governance matters.

• Manage relationships with the IR website provider, newswire, transfer agent, and outside IR or shareholder-intelligence firms; own the IR budget.

Key Measures of Success

• Growth in institutional ownership and the number of new institutional holders.

• Number and quality of investor meetings, conferences, and roadshows completed.

• Expanded or maintained sell-side analyst coverage.

• On-time, error-free quarterly earnings process with zero Regulation FD issues.

• Responsiveness to investor inquiries and quality of feedback delivered to leadership.

• Reduced reliance on CEO and CFO time for routine investor engagement.

Qualifications

Education

• Bachelor’s degree in Finance, Accounting, Economics, or Business required.

• MBA, CFA, or CPA strongly preferred; NIRI Investor Relations Charter (IRC) a plus.

Experience

• 8+ years of combined experience in investor relations, equity research, investment banking, buy-side investing, or corporate finance, including at least 3–5 years in a public-company IR role.

• Demonstrated record of independently leading investor meetings, earnings calls, and roadshows.

• Established relationships with institutional investors and sell-side analysts, ideally in healthcare services, hospitals, or small/mid-cap growth companies.

• Experience increasing institutional ownership or analyst coverage strongly preferred.

Knowledge and Skills

• Expert command of GAAP and non-GAAP financial statements, valuation methods, and financial modeling.

• Working knowledge of Regulation FD, SEC reporting, and Nasdaq requirements.

• Polished, confident public speaker able to handle challenging investor questions with composure.

• Exceptional written communication for scripts, press releases, and presentations.

• Sound judgment and discretion with material non-public information.

• Understanding of healthcare reimbursement, payer mix, and hospital operations strongly preferred.

• Proficiency with Microsoft Office, investor CRM platforms, and market data tools such as Bloomberg, FactSet, or S&P Capital IQ.

Working Conditions

Office-based role in Houston with frequent domestic travel. Availability outside normal business hours is required around earnings releases, conferences, and material announcements. The Director will be designated an insider subject to the Company’s Securities Trading Policy, including blackout periods.
